Marketplace Model Explanation

1. Our Marketplace Model

Great British Farmers Market operates as an Online Marketplace (OMP). We connect independent sellers with buyers; we do not buy, own, or sell your products. The contract of sale is always directly between you (the seller/vendor) and the buyer, and Great British Farmers Market is not a party to that contract.

2. Your Role as the Seller (Merchant of Record)

When you list products on Great British Farmers Market, you remain the legal seller/vendor (merchant of record) for all transactions. This means:

    • Invoicing and sales: You issue invoices to buyers. We provide order details for your records (see Seller Agreement, section 3).

    • Consumer law: You must comply with UK consumer law, including the Consumer Rights Act 2015.

    • Refunds, returns, and customer service: You are responsible for handling all refunds, returns, and customer service for your orders (see Seller Agreement, sections 3 and 7).

    • VAT and tax compliance: You are responsible for charging and remitting VAT and any other applicable taxes to HMRC. We do not collect or remit VAT or tax on your behalf unless required to do so by future HMRC regulations for UK-based sellers (see Seller Agreement, sections 3, 5, and 7).

    • Product liability: You are solely responsible for the accuracy of product listings, product quality, and compliance with UK food safety laws (see Seller Agreement, sections 4 and 6).

3. Great British Farmers Market's Role

We are a facilitator only.

We will:

  • Host your listings and enable visibility to buyers.

  • Process payments via Stripe and transfer funds to your connected account (minus our fees) — see Seller Agreement, sections 5 and 7.

  • Provide tools for order management and communication.

We do not:

  • Act as the seller, reseller, or agent for your products.

  • Take responsibility for your sales, your VAT or tax obligations, or your obligations to your customers.

4. Chargebacks and Customer Disputes

You are solely responsible for handling customer disputes, returns, and refunds relating to your products (see Seller Agreement, sections 3 and 7).

As the merchant of record, you must also deal directly with customers and their payment providers to resolve any transaction dispute, including any chargeback initiated through a card scheme or bank. Because Great British Farmers Market is not a party to the contract of sale (section 1 above), it bears no responsibility for the outcome of any such dispute. 5. Indemnity

You agree to indemnify and hold harmless Fair Roots Ltd t/a Great British Farmers Market, its officers, employees, and agents against any and all claims, damages, losses, costs (including reasonable legal fees), and liabilities arising out of or in connection with:

  • (a) the products you list and sell;

  • (b) any breach of the Seller Agreement or these terms by you;

  • (c) any infringement of a third party's intellectual property or other rights by your products or listings;

  • (d) any dispute or claim brought by your customers; and

  • (e) any chargeback or payment dispute connected to your sales.

This expands on the indemnity in Seller Agreement, section 11.

6. Limitation of Liability

To the fullest extent permitted by law, Great British Farmers Market's total liability to you arising out of or in connection with these Terms, the site, or the service, whether in contract, tort (including negligence), or otherwise, shall be limited to the total fees you have paid us in the twelve (12) months preceding the event giving rise to the claim.

Great British Farmers Market shall not be liable for any indirect, incidental, special, or consequential losses, or for loss of profits, loss of business, loss of goodwill, or loss of anticipated savings.

7. Confirmation and Agreement

By using the site and service, you confirm that you understand and agree to these terms, together with the Seller Agreement.

If you do not agree, please notify us in writing and we will remove your products and profile, notwithstanding any obligations we are required to meet under applicable law or to any relevant authority. See also Seller Agreement, sections 10 and 14.

8. Governing Law and Dispute Resolution

These terms and the Seller Agreement are governed by the laws of England and Wales. The parties submit to the jurisdiction of the courts of England and Wales.
